1. Who we are and what these terms cover
These terms are an agreement between [legal entity name] ("Ninno", "we", "us") and the organisation or person that creates a Ninno account or workspace ("you"). By creating an account or using Ninno you agree to them. If you use Ninno for an organisation, you confirm you have authority to bind it.
2. The service
Ninno is a web-based workspace for nonprofits, NGOs and charities, with Mission HQ, Knowledge, Work and AI tools. We may improve, change or retire features, and will give reasonable notice of material reductions.
3. Accounts and workspaces
- Provide accurate information and keep your sign-in details secure. You are responsible for activity under your account.
- Workspace owners and admins control membership and roles. Each workspace's data is separate from other workspaces.
- You must be at least 16 and able to form a binding contract.
- People recorded in People (personnel, volunteers, contractors, consultants) are records only and do not have accounts unless invited.
4. Free trial, pricing and payment
- New workspaces receive a 3-month free trial with all features.
- After the trial: $49.99 per month for up to 10 team members and $2 per month for each additional team member, or the equivalent price in a supported local currency at checkout. Seats are active owners, admins, members and guests. [Taxes are added where required.] [Confirm billing period, proration and currency rules.]
- Subscriptions renew automatically until cancelled. You can cancel any time in billing settings; cancellation takes effect at the end of the paid period. [Refund terms to be confirmed.]
- If the trial or subscription ends, your workspace is read-only for 14 days, then locked. We keep your content for 90 days, then delete it. You can export your data at any time before deletion.
- We may change prices with at least [30] days' notice before your next renewal.
5. Your content
You own your content. You give us the limited right to host, process and display it to provide the service to you, including sending it to sub-processors and, when you run an AI tool, to our AI provider to generate your result. You are responsible for your content and for having the right to store it, including any personal data of others. Where your workspace contains personal data, our Data Processing Addendum ([link]) applies and you are the controller.
6. Acceptable use
Do not: break the law; upload unlawful or infringing material; try to access other workspaces or accounts, or probe or disrupt the service; send spam or malware; use Ninno to harm, harass or exploit people; scrape or reverse engineer the service except as the law allows; or resell Ninno without our written agreement. We may suspend accounts that put others or the service at risk.
7. AI features
AI tools generate drafts that may be incomplete or wrong. You must review them before applying or relying on them, especially for financial, legal, compliance or donor reporting. We do not use your workspace content to train AI models. AI use is subject to fair-use limits shown in settings.
8. Our service and intellectual property
We own Ninno, its design and software. We grant you a limited, non-exclusive, non-transferable right to use it during your subscription. Feedback you give may be used by us without obligation.
9. Privacy
Our Privacy Policy and Cookie Policy explain how we handle personal data.
10. Availability, support and security
We work to keep Ninno available and secure but do not promise uninterrupted or error-free service. Support is by email at [support email], [business hours]. Ninno is not a substitute for your own records, backups or professional advice; Finance features are record-keeping tools, not accounting, legal or audit services.
11. Suspension and termination
You may stop using Ninno and cancel at any time. We may suspend or end access if you materially breach these terms, do not pay, or if required by law, with notice where reasonable. On termination section 4 (data retention and export) applies.
12. Warranties and liability
The service is provided "as is" to the extent allowed by law. Nothing limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, or loss of profits or data, and our total liability for any claim in a year is limited to [the fees you paid in the 12 months before the claim] [figure to be confirmed by counsel].
13. Changes to these terms
We may update these terms. We will post the new version and, for material changes, notify account owners at least [30] days in advance. If you keep using Ninno after the change takes effect, you accept it.
14. Governing law and disputes
These terms are governed by the laws of [jurisdiction]. The courts of [jurisdiction] have [exclusive] jurisdiction, except where consumer or other mandatory laws give you other rights. [Consider an informal resolution step before court.]
15. Contact
